Terms of Service
The rules of engagement for using Palatai.
Welcome to Palatai. These Terms of Service (“Terms”) govern your access to and use of the Palatai platform, including our website, mobile applications, and related services (collectively, the “Service”), operated by On10 Solutions (“we,” “our,” or “us”).
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
1. Description of Service
Palatai provides an AI agent platform designed for business operators, offering autonomous artificial intelligence agents for marketing, sales, customer operations, and business management. Our services include:
- A suite of AI agents (CEO agent, CRM agent, marketing agent, customer success agent, and others)
- An autonomous operations layer that executes tasks on your behalf without requiring manual intervention
- Integration capabilities with third-party tools and data sources
- A centralized dashboard for monitoring agent activity, reviewing outputs, and configuring behavior
- Analytics and reporting on agent-generated outcomes
2. Account Registration
To use certain features of our Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old to create an account and use our Service.
3. Subscription and Payment
Some features of our Service require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described at the time of purchase
- Provide valid payment information
- Authorize recurring charges for subscription renewals
Subscription fees are billed in advance on a monthly or annual basis. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods. We reserve the right to change our pricing with 30 days' notice.
Revenue Share
In addition to subscription fees, Palatai operates a revenue share model: we take a 20% cut of revenue directly attributable to agent-generated activity, applied as a platform credit toward future subscription fees. Attribution methodology will be documented in your account dashboard.
4. Acceptable Use
You agree not to use our Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit viruses, malware, or harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or its infrastructure
- Use automated means to access the Service without our permission
- Impersonate another person or entity
- Submit false, misleading, or fraudulent information
- Use the Service for any illegal or unauthorized purpose
5. User Content
You retain ownership of any content you submit to our Service, including business data, documents, and records (“User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing and improving our Service.
You are solely responsible for your User Content and represent that you have the right to submit it. We may remove User Content that violates these Terms or is otherwise objectionable.
We will not use your content to train general AI models without your explicit consent. Agent performance improvements derived from aggregated, anonymized interaction data may be used to improve the Service.
6. AI Agent Operations
Autonomous Actions
Palatai agents are designed to operate autonomously — taking actions, sending communications, updating records, and executing tasks without requiring approval for each individual action. By enabling agents, you are authorizing them to act on your behalf within the scope of their configured capabilities.
User Responsibility
You are solely responsible for all actions taken by your agents. This includes but is not limited to: communications sent to your customers, changes made to connected data sources, purchases or commitments made through integrations, and any business outcomes resulting from agent activity.
You agree to configure your agents within the bounds of applicable law, including anti-spam regulations (CAN-SPAM, GDPR, CASL), consumer protection laws, and any industry-specific regulations applicable to your business.
Human Oversight
We strongly recommend maintaining regular oversight of your agents' activity through the Palatai dashboard. While agents are designed to act within your configured parameters, AI systems can behave unexpectedly. You retain ultimate responsibility for reviewing and acting on agent outputs.
AI Limitations
AI agents may occasionally produce incorrect, incomplete, or inappropriate outputs. Palatai does not warrant that agent outputs will be error-free, and we are not liable for damages arising from reliance on agent-generated content or decisions.
7. Intellectual Property
The Service, including its design, features, content, and underlying technology, is owned by On10 Solutions and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.
“Palatai” and our logo are trademarks of On10 Solutions. You may not use our trademarks without our prior written consent.
8. Third-Party Services
Our Service may integrate with or link to third-party services, including payment processors, service providers, and data sources. We are not responsible for the content, privacy practices, or actions of these third parties. Your use of third-party services is at your own risk and subject to their respective terms and policies.
9. Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and business data.
9.2 International Data Transfer
On10 Solutions is based in the United States. By accessing or using the Service, you acknowledge that your information may be transferred to, stored, and processed in the United States and other countries. 10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or reliability of any content or information provided through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON10 SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless On10 Solutions and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
16. General Provisions
Entire Agreement
These Terms constitute the entire agreement between you and On10 Solutions regarding the Service.
Severability
If any provision is found unenforceable, the remaining provisions will continue in effect.
Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment
You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
